Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of ShellPilot, an AI-assisted PowerShell development environment provided by SYSTANA LLC, a company registered in Georgia (Identification Code: 405378342), located at Krtsanisi Str. 22/24 D 45, Tbilisi, Georgia ("we", "us", "Company").
By purchasing, downloading, or using ShellPilot, you agree to be bound by these Terms. If you do not agree, do not use the product.
2. Product Description
ShellPilot is a desktop software application (SaaS) for Windows that provides AI-assisted PowerShell script generation and execution. It is a portable, self-contained executable with embedded PowerShell 7 and .NET 10 runtime. ShellPilot is a pure software product — no human-driven services are included.
3. Payments and Billing
Our order process is conducted by our online reseller FastSpring. FastSpring is the Merchant of Record for all our orders. FastSpring provides all customer service inquiries and handles returns.
All payments are processed through FastSpring. Pricing, applicable taxes, and billing are managed by FastSpring in accordance with their terms. By completing a purchase, you also agree to FastSpring's Terms of Sale.
Subscriptions renew automatically at the end of each 30-day billing period unless cancelled at least 48 hours before renewal. You can cancel your subscription at any time through FastSpring's customer portal or by contacting us.
The above applies to subscriptions purchased through FastSpring. Direct B2B annual invoice sales by SYSTANA LLC follow a separate process described in Section 18 and are not handled by FastSpring.
4. Pricing
ShellPilot is available in three subscription tiers:
- Starter — $34/month: AI script generation, local execution, persistent runspace, 3 devices, community support.
- Pro — $49/month: Everything in Starter plus extended AI capacity, Local AI integration, email support.
- Pro Plus — $79/month: Everything in Pro plus premium AI capacity, Local AI integration, priority support.
All prices are in USD and exclude applicable taxes. Taxes are calculated and applied at checkout by FastSpring based on your location.
We do not offer custom or enterprise pricing plans at this time. All customers use the standard subscription tiers listed above.
5. Cancellation Policy
All sales are final. No refunds are issued for partial billing periods, unused time, or unused AI capacity. For full details, see our Cancellation Policy.
The above applies to subscriptions purchased through FastSpring. Direct B2B annual invoice sales by SYSTANA LLC are governed by the separate cancellation and refund terms set out in Section 18.
6. How ShellPilot Handles Data
ShellPilot is designed with a strict separation between AI communication and local execution. By default, the only data sent to the AI provider is the text you type in the chat. This typically consists of task descriptions, questions, and error messages — none of which require personal data.
You are always in control. The AI does not automatically access, read, or transmit any local data. The following is only sent if you explicitly choose to do so:
- Script execution output (via a deliberate "send to AI" action)
- Screenshots or images (via explicit attachment)
- File contents (via explicit paste or attachment)
The following items have distinct handling:
- Credentials, passwords, and secure strings are never intentionally sent to the AI by ShellPilot and must not be typed into normal chat. The secure input path handles them through PowerShell's SecureString mechanism.
- Runspace variables, session state, environment variables, system configuration, and network topology are never automatically collected or sent by ShellPilot.
ShellPilot is designed to support GDPR-conscious use through data minimisation, no server-side chat storage, EU-hosted proxy infrastructure, and user-controlled transmission of optional context. In normal usage no personal data needs to be sent to the AI; if you choose to include personal or regulated data in your messages, you do so at your own responsibility.
ShellPilot operates in two modes:
- Cloud AI Mode: Chat text is sent to the configured AI service for processing. No local data is transmitted unless you explicitly send it.
- Local AI Mode (plan-dependent): Local LLM inference runs on customer-controlled infrastructure. The application still requires reachability of the ShellPilot Azure proxy at launch to verify subscription and activation. While a Local LLM session is already running, the licence token is refreshed hourly when online. If the refresh is temporarily unavailable, Local AI requests can continue for up to twenty-four (24) hours since the last successful refresh; after that, AI requests are blocked until connectivity to the proxy returns. Switching to Cloud AI requires connectivity and refreshes the token path normally.
7. AI-Generated Content — Disclaimer of Liability
Important: AI-generated scripts are suggestions, not guaranteed solutions. You are solely responsible for reviewing, understanding, and executing any script in your environment.
ShellPilot uses artificial intelligence to generate scripts and technical recommendations. You acknowledge and agree that:
- AI-generated output may contain errors, inaccuracies, or inappropriate suggestions.
- The AI does not have knowledge of your specific environment, security policies, or data unless you explicitly provide this information.
- You are solely responsible for reviewing all generated scripts before execution.
- We are not liable for any damage, data loss, system failures, security incidents, or any other consequences resulting from the execution of AI-generated scripts.
- The AI component is provided "as is" and we make no warranties regarding the accuracy, completeness, reliability, or fitness for purpose of any AI-generated content.
- We do not control or train the underlying AI models. Changes in AI model behavior, capabilities, or availability are outside our control.
You should always test AI-generated scripts in a non-production environment first, and maintain appropriate backups before executing scripts that modify your infrastructure.
8. External AI Processing
When using Cloud AI Mode, your chat text is processed by an external AI service. We select services that offer enterprise-grade data handling (no training on customer data, no persistent storage beyond request processing). We are not responsible for the data processing practices of external services beyond our contractual agreements with them.
9. User Responsibilities
You agree to:
- Use ShellPilot in compliance with all applicable laws and regulations.
- Not use the product to generate malicious scripts, malware, or code intended to harm systems or data.
- Review all AI-generated scripts before execution in your environment.
- Not share your license or activation credentials with third parties.
- Not reverse-engineer, decompile, or attempt to extract source code from the product.
- Not circumvent or attempt to circumvent license validation, rate limiting, or device restrictions.
10. License and Device Management
Each subscription entitles you to activate ShellPilot on up to 3 devices simultaneously. When a 4th device is activated, the oldest activation is automatically deactivated. You can manually deactivate a device using the /SPunregister command.
Your license is personal and non-transferable.
11. Availability and Service Levels
We strive to maintain high availability of our proxy and licensing services, but do not guarantee uninterrupted access. In particular:
- Third-party AI providers may experience downtime, rate limiting, or service changes outside our control.
- ShellPilot is designed to remain partially functional without a connection — scripts already in your session continue to execute locally.
- We reserve the right to modify, update, or discontinue features with reasonable notice.
12. Intellectual Property
ShellPilot, including its code, design, architecture, and documentation, is the intellectual property of SYSTANA LLC. All rights reserved.
Scripts generated by the AI during your use of the product are yours to use, modify, and distribute as you see fit. We claim no ownership over AI-generated output.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- SYSTANA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.
- Our total liability for any claim arising from the use of ShellPilot shall not exceed the amount you paid for the product in the 12 months preceding the claim.
- We are not liable for actions taken based on AI-generated content, including but not limited to script execution, system modifications, or infrastructure changes.
14. GDPR and Data Protection
SYSTANA LLC is committed to data protection by design. ShellPilot is designed to support GDPR-aligned use: it does not require the transmission of personal data for its core function, does not store chat content on the server side, and routes Cloud AI traffic through EU-hosted infrastructure. See Section 6 for details.
We store only the minimum data required for licensing and billing: your email address, subscription status, and device identifiers (anonymized hashes). We do not store, log, or retain your chat conversations, scripts, or execution output.

15. Termination
We may suspend or terminate your access if you violate these Terms, engage in abusive usage patterns, or attempt to circumvent security measures. You may cancel your subscription at any time by contacting us at shellpilot@sistana.ge or, for card subscriptions, through FastSpring's customer portal.
16. Changes to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the product. Continued use of ShellPilot after changes constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of Georgia. Any disputes shall be resolved in the courts of Tbilisi, Georgia, unless mandatory consumer protection laws of your jurisdiction require otherwise.
18. B2B Annual Invoice (Direct Sales by SYSTANA LLC)
Independently of the online subscription path described in Sections 3–4 above, SYSTANA LLC offers a direct annual invoice option to business customers under pre-existing or newly established direct commercial relationships. This sales process is operated independently by SYSTANA LLC and is not connected to our online reseller's checkout. It is a business-to-business sale only. Consumers are excluded.
18.1 Business Customer Confirmation
By selecting the invoice payment option at checkout, you confirm that:
- You purchase ShellPilot in the course of a commercial, self-employed, or professional activity, not as a consumer;
- You are entitled under the tax laws of your country of establishment to receive net invoices (without VAT, GST, or sales tax added by the seller);
- The information provided (company name, address, tax/VAT identification number) is true, complete, and accurate.
False or incomplete information may result in additional taxes being charged retroactively, at your sole cost.
18.2 Pricing — Annual Term with 10% Discount
The invoice path is a 12-month prepaid annual term with a 10% discount compared to monthly billing. The annual amount is calculated as the monthly price multiplied by twelve and reduced by ten percent, rounded.
- Starter: $367 per year (net)
- Pro: $529 per year (net)
- Pro Plus: $853 per year (net)
All prices are stated as net amounts, exclusive of any taxes, duties, or levies.
18.3 Taxes (Net Invoicing)
- EU customers (with valid EU VAT-ID): Invoiced under the reverse-charge mechanism (Art. 196 EU VAT Directive 2006/112/EC; for German recipients §13b UStG). The customer is liable for VAT in their own country and must self-assess and remit the applicable VAT. The invoice carries the note "Reverse charge — recipient liable for VAT". A valid VAT-ID must be provided before the invoice is issued.
- Non-EU customers: Invoiced as net amounts. The customer is solely responsible for any import duties, sales taxes, withholding taxes, or other local levies applicable in their jurisdiction.
18.4 Invoice and Payment
Invoices are issued by SYSTANA LLC, Krtsanisi Str. 22/24 D 45, Tbilisi, Georgia. Payment is by bank transfer to the account stated on the invoice, using the invoice number as payment reference. Access to the paid subscription period is activated after payment is received.
18.5 Term, Renewal, Cancellation
The annual invoice subscription is prepaid for twelve (12) months and does not auto-renew. SYSTANA LLC issues a renewal invoice approximately thirty (30) days before the end of the current term. Renewal is at the customer's discretion: paying the renewal invoice extends the subscription for another twelve months; not paying it ends access at the end of the current paid term. No separate cancellation notice is required.
18.6 No Refunds
A free trial period precedes any paid B2B invoice subscription so the product can be evaluated before purchase. By placing a paid order, the customer confirms that the trial was sufficient. B2B invoice sales are final. No refunds are issued for partial billing periods, unused time, or unused capacity, except (a) where mandatory statutory rights require otherwise, or (b) where the paid service cannot be provided due to a provider or infrastructure failure on SYSTANA LLC's side. The 30-day money-back guarantee offered on FastSpring online subscriptions does not apply to the B2B invoice path.
